VerusCam – Rental & Sales Terms

1. Agreement Overview

These Rental & Sales Terms (“Agreement”) govern all equipment rentals, product purchases, and AI/cloud service subscriptions provided by AGB LLC d/b/a VerusCam (“Company,” “we,” or “us”) to any individual, business, or entity (“Client,” “you,” or “your”).

By renting, purchasing, or subscribing to any VerusCam products or services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

2. Products and Services

VerusCam provides security camera products and related services, including but not limited to:

• Solar-powered surveillance trailers and camera units.

• Fixed-mount camera systems for businesses and public facilities.

• Cloud-based video storage and AI-powered analytics subscriptions (14-day or 30-day retention options).

• Installation, maintenance, and retrieval services for rental equipment.

• Robotics

All equipment and services are subject to availability and may vary based on location or customer requirements.

3. Rental Terms

When renting equipment from VerusCam:

• Ownership: All rented equipment remains the sole property of the Company.

• Rental Period: Begins upon delivery of equipment to the Client and ends when retrieved by the Company.

• Location: Equipment must remain at the agreed installation site and may not be moved without written consent of VerusCam.

• Care & Use: The Client must operate the equipment lawfully, safely, and as instructed. The equipment shall not be altered, defaced, misused, or used in violation of any laws or regulations.

• Responsibility: The Client is responsible for all loss, theft, or damage to the equipment during the rental term, regardless of cause.

4. Purchases

When purchasing VerusCam products:

• Ownership Transfer: Title and risk of loss pass to the Client upon full payment and delivery.

• Installation: VerusCam may provide installation services at an additional cost unless otherwise stated in writing.

• Product Availability: The Company reserves the right to modify or discontinue products without prior notice.

5. Cloud Storage and AI Subscription Services

VerusCam’s optional subscription services include AI-powered analytics and secure cloud video storage for 14- or 30-day retention periods.

• Access: Subscribers receive account credentials for accessing their individual stored footage.

• Data Retention: Video data is automatically deleted after the selected retention period unless the Client downloads it before expiration.

• Service Availability: Cloud service performance may vary depending on network conditions, weather, or technical issues.

• No Guarantee of Continuous Service: The Company does not guarantee uninterrupted or error-free operation of the cloud service.

• Termination of Subscription: The Client may cancel a subscription with 14 days’ written notice. No refunds will be issued for partial subscription periods.

6. Payment Terms

• Currency: All payments are in U.S. Dollars (USD).

• Invoices: Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

• Late Payments: A 5% late fee may apply to overdue accounts.

• Taxes: The Client is responsible for any applicable state or local taxes.

• Accepted Payment Methods: Check, ACH transfer, credit/debit card, money order, or other approved electronic methods.

• Subscription Billing: Cloud and AI service subscriptions are billed monthly or annually in advance.

7. Refunds and Cancellations

• Rental Refunds: If cancellation occurs more than one week before the rental start date, a full refund will be issued. Cancellations within one week of the start date are subject to a minimum one-week rental fee.

• Sales Refunds: Returns or refunds for purchased products are accepted only for defective or damaged equipment within 30 days of delivery, subject to inspection.

• Subscription Refunds: Subscription payments are non-refundable once the billing period has started.

8. Installation, Removal, and Maintenance

VerusCam is responsible for installing, adjusting, relocating, and removing rented equipment. If the Client purchases items from VerusCam title and risk of loss pass to the Client upon full payment and delivery
The Client must provide access for any required maintenance, service or retrieval. Unauthorized relocation or tampering voids warranties and may result in additional charges and termination of the contract with no refund.

9. Warranty

All VerusCam products are provided “as is” without any express or implied warranty, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

For purchased hardware, VerusCam offers a 30-day limited warranty against manufacturing defects. This warranty excludes:

• Damage caused by misuse, negligence, or unauthorized modification.

• Environmental damage (e.g., weather, vandalism, electrical surge, lighting, criminal acts).

• Software, AI or data connectivity service interruptions.

10. Limitation of Liability

To the fullest extent permitted by law:

• VerusCam is not liable for any indirect, incidental, special, or consequential damages, including loss of data, business interruption, or loss of revenue.

• The Client agrees to indemnify and hold harmless VerusCam, its officers, employees, and agents from all claims or damages arising from the use or misuse of any VerusCam product or service.

• VerusCam’s total liability shall not exceed the total amount paid by the Client for the product or service giving rise to the claim. To include any legal fees.

11. Lawful Use of Equipment

The Client agrees that VerusCam equipment and services will be used for lawful purposes only. Any illegal, unethical, or unauthorized use is strictly prohibited. VerusCam reserves the right to suspend or terminate services and retrieve equipment if misuse is detected.

12. Termination

Either party may terminate a rental or subscription agreement with written notice.
Upon termination, the Client must cease use of all equipment and allow the Company access for retrieval. Any unpaid balances remain due immediately.

13. Dispute Resolution

This Agreement shall be governed by the laws of the State of Kansas.
All disputes shall first be submitted to binding arbitration under the rules of the American Arbitration Association.
If arbitration is not possible, disputes shall be resolved in the state or federal courts of Shawnee County, Kansas, and both parties consent to that jurisdiction.

14. Amendments

No modification or waiver of these Terms shall be valid unless made in writing and signed by authorized representatives of both the Company and the Client.
